1. Definitions

• "Meridwell" / "We" / "Us": Meridwell, operating from 90/6 Tiwanon Road, Talat Khwan, Mueang Nonthaburi, Nonthaburi 11000, Thailand.
• "Services": Understanding Together Workshops, Balanced Facilitation Sessions, Agreement Notes Support, and any related activities provided by Meridwell.
• "User" / "You": any individual or family group that contacts, books, or attends a Meridwell service.
• "Session": a single scheduled facilitation session, workshop, or documentation service delivery.
• "Agreement": the booking confirmation, these Terms and Conditions, and any service-specific written terms provided at time of booking.

2. Acceptance of Terms

By using our website or booking a service, you confirm that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement; and (c) you accept these Terms and Conditions in full. Where a booking is made on behalf of multiple participants, the primary contact accepts these terms on behalf of all participants.

3. Service Description

Meridwell provides:

• Understanding Together Workshops: structured educational sessions focused on communication frameworks for families.
• Balanced Facilitation Sessions: neutral, facilitated conversation sessions for family groups.
• Agreement Notes Support: documentation assistance converting agreed family points into a structured personal record.

None of Meridwell's services constitute legal advice, psychological counselling, personal financial advice, or any activity requiring a professional operating licence. Meridwell is an education and facilitation service only.

Services are delivered in English, primarily in Nonthaburi, Thailand. Remote delivery may be available by arrangement.

4. User Responsibilities

You agree to:

• Participate in good faith and with respect for other session participants and Meridwell staff
• Provide accurate contact and booking information
• Attend pre-session preparation calls where requested
• Comply with any confidentiality agreement signed prior to facilitation sessions
• Make payment in full before sessions take place
• Not record sessions without prior written consent from all parties and Meridwell

5. Intellectual Property

All content on the Meridwell website — including text, design, session frameworks, and workshop materials — is the intellectual property of Meridwell. You are granted a personal, non-transferable licence to access and use this content for the purpose of engaging with our services. You may not reproduce, distribute, or commercially exploit any Meridwell content without prior written permission.

6. Payment Terms

• All prices are quoted and invoiced in Thai Baht (฿)
• Payment is due in full before the session date; sessions will not proceed until payment is confirmed
• Payment is accepted by bank transfer to a Thai bank account; details are provided with the invoice
• Cancellations: cancellations made more than 48 hours before a session are refunded in full. Cancellations within 48 hours are non-refundable. Rescheduling with at least 48 hours notice is available once per booking at no charge.
• If Meridwell cancels a session, a full refund or reschedule will be offered

7. Service-Specific Terms

Facilitation Sessions

All participants must sign a mutual confidentiality agreement before a facilitation session proceeds. Meridwell facilitators hold no brief for any participant and will not provide advice, take sides, or recommend outcomes. Meridwell reserves the right to pause or conclude a session if participant conduct becomes inappropriate.

Agreement Notes Support

Documents produced under Agreement Notes Support are personal reference records only. They have no legal standing and do not constitute advice of any kind. Meridwell captures only what participants have stated; no interpretation is added. Final documents are reviewed and approved by all parties before issue.

8. Disclaimers

Meridwell's services are provided on the basis of good professional practice in facilitation and communication education. We do not warrant that any particular outcome will result from a session. Facilitation creates the conditions for productive conversation — the content and conclusions of that conversation belong to the participants. Agreement notes reflect participants' own decisions; Meridwell is not responsible for the consequences of those decisions.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Meridwell's total liability to you for any claims arising from a service shall not exceed the amount paid by you for that service. We exclude liability for indirect, incidental, or consequential losses. Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.

10. Indemnification

You agree to indemnify Meridwell against any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your conduct during sessions, or any misuse of content or documentation provided by Meridwell.

11. Termination

Either party may cancel a booked service in accordance with the cancellation policy in Section 6. Meridwell reserves the right to refuse or discontinue services to any participant whose conduct is disrespectful, abusive, or in breach of a signed confidentiality agreement. Clauses 5, 8, 9, 10, 12, and 13 of these Terms survive termination.

12. Dispute Resolution

If a dispute arises, we ask that you contact us at [email protected] in the first instance and allow us 14 days to respond before taking further steps. These Terms are governed by the laws of Thailand. Any disputes that cannot be resolved informally shall be subject to the jurisdiction of the courts of Nonthaburi Province, Thailand.

13. General Provisions

• Entire agreement: these Terms, along with the booking confirmation and any service-specific addendum, constitute the entire agreement between us.
• Severability: if any provision is found unenforceable, the remainder of the Terms continues in full effect.
• Waiver: failure to enforce any right does not constitute a waiver of that right.
• Assignment: you may not assign your rights under these Terms without our written consent. Meridwell may assign its rights to a successor entity.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by direct notification to active clients. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
